The terms and conditions governing your use of the CloudVNO platform.

Agreement
These Terms of Service ("Terms") govern your use of the CloudVNO communications platform, APIs, and related services ("Services") provided by CloudVNO ("CloudVNO," "we," "us"). By accessing or using the Services, you agree to be bound by these Terms.
Eligibility
You must be at least 18 years old and capable of entering a binding contract to use the Services. By using the Services, you represent that you meet these requirements.
Account Registration
You must provide accurate, complete, and current information when creating an account. You are responsible for maintaining the confidentiality of your API keys and account credentials. You are responsible for all activity that occurs under your account.
Acceptable Use
You agree to use the Services only for lawful purposes and in accordance with our Acceptable Use Policy. You must not:
- Send unsolicited communications (spam) or violate anti-spam laws (CAN-SPAM, CASL, GDPR)
- Violate TCPA, A2P 10DLC, or other telecommunications regulations
- Use the Services for illegal activities, fraud, or harassment
- Attempt to gain unauthorized access to our systems or other users' accounts
- Resell or sublicense the Services without our written consent
- Use the Services to generate, facilitate, or participate in phishing, malware distribution, or other malicious activity
API Keys and Security
You are solely responsible for securing your API keys. CloudVNO will not be liable for any unauthorized use of your API keys. If you believe your API keys have been compromised, you must revoke and replace them immediately.
Payment Terms
Charges are billed monthly based on actual usage (pay-as-you-go). All prices are in USD. You authorize us to charge your payment method on file for all usage fees. Disputed charges must be reported within 30 days of the invoice date. We may suspend your account for non-payment.
Service Availability
We target 99.99% monthly uptime for core services. Scheduled maintenance is communicated at least 48 hours in advance. Credits for downtime exceeding our SLA are governed by our Service Level Agreement.
Intellectual Property
CloudVNO retains all intellectual property rights in the Services, including the API, SDKs, documentation, and platform. We grant you a limited, non-exclusive, non-transferable license to use the Services in accordance with these Terms.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLOUDVNO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY TO YOU SHALL NOT EXCEED THE AMOUNTS YOU PAID TO CLOUDVNO IN THE 12 MONTHS PRECEDING THE CLAIM.
Termination
Either party may terminate the agreement with 30 days' written notice. We may terminate or suspend access immediately for violation of these Terms or our Acceptable Use Policy. Upon termination, your right to use the Services ceases and we will delete your data per our retention policy.
Governing Law
These Terms are governed by the laws of the Dubai International Financial Centre (DIFC), without regard to conflict of law principles. Disputes shall be resolved in the DIFC Courts, Dubai, UAE.
Changes to Terms
We may update these Terms by posting the revised version to our website. Continued use of the Services after the effective date constitutes acceptance.
